1. AGREEMENT TO TERMS

These Terms and Conditions, together with the Service Agreement, constitute a legally binding agreement made between the Client identified in the Service Agreement and Bizrai ("Bizrai", “we”, “our”, or “us”), concerning the Client’s access to and use of the https://www.bizrai.com (the "Site"). By accessing the Site, the Client confirms that they have read, understood, and agreed to be bound by these Terms and Conditions. Bizrai reserves the right to modify these Terms at any time. Continued use of the Site following the posting of revised Terms means acceptance of those changes.

2. CLIENT ACCESS AND CLIENT DATA

Bizrai grants the Client a non-exclusive, non-transferable right to access and use the Site and its Services solely for internal business use, by authorized users (maximum five unless agreed otherwise). Bizrai acknowledges that all Client data belongs to the Client. However, Bizrai may use this data solely to deliver the Services. Any AI-generated insights based on such data remain the intellectual property of Bizrai.

3. BIZRAI INTELLECTUAL PROPERTY
All content on the Site (code, designs, text, media, trademarks, etc.) is the property of Bizrai. Clients must not copy, alter, distribute, reverse engineer, or otherwise misuse any part of the Site or its Services.

4. CLIENT REPRESENTATIONS

The Client agrees that:

(1) Registration info is accurate and updated

(2) Site will be used legally and ethically

(3) No bots or unauthorized automation will be used

(4) Required consents (e.g., TCPA compliance) are obtained prior to submitting customer data

Bizrai may suspend accounts for false info or breaches.

5. REGISTRATION

Clients must register to use the Site. Clients are responsible for account security. Bizrai may remove usernames it deems inappropriate.

6. CONFIDENTIALITY

Both Parties agree to maintain confidentiality of all shared information, except in cases where information is public, received lawfully from third parties, or required by law. Confidentiality obligations last for three (3) years post-disclosure unless superseded by a separate NDA.

7. CANCELLATION

If services are terminated, Client must pay for any scheduled appointments up to the termination date.

8. PROHIBITED ACTIVITIES

Clients may not use the Site to:

Harm or harass othersViolate lawsDisrupt services or systemsReverse engineer softwareImpersonate othersOverload the Site infrastructure.

9. WARRANTIES AND DISCLAIMER

Bizrai ensures services are legal and malware-free. Except as explicitly stated, services are provided “as-is” without warranties of merchantability or fitness for a particular purpose.

10. SUBMISSIONS

Any suggestions, feedback, or ideas submitted by the Client become the property of Bizrai.

11. PRIVACY POLICY

Use of the Site is governed by our Privacy Policy. By using the Site, Clients consent to the data practices described therein.

12. TERMINATION BY BIZRAI

Bizrai may block or remove users who breach these Terms. Attempts to re-register after termination are prohibited. Legal action may follow serious violations.

13. MODIFICATIONS AND INTERRUPTIONS

Bizrai reserves the right to modify the Site or services at any time without notice. We are not liable for downtime, interruptions, or service availability issues.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, USA. The UN Convention on Contracts for the International Sale of Goods does not apply.

15. DISPUTE RESOLUTION

Disputes must first go through informal negotiation for 30 days. If unresolved, disputes will be arbitrated by the American Arbitration Association in San Francisco, CA. Certain disputes (IP rights, privacy violations, injunctive relief) are exempt from arbitration and go directly to court.

16. CORRECTIONS

We may correct any content errors on the Site without prior notice.

17. LIMITATION OF LIABILITY

Bizrai is not liable for indirect or consequential damages. Our liability, if any, is limited to the amount paid by Client in the last 6 months.

18. INDEMNIFICATION

Bizrai will defend the Client against IP infringement claims related to the Services. Clients must indemnify Bizrai against claims from improper Site use, breaches, or third-party rights violations.

19. DATA SECURITY & USE

Bizrai uses industry-standard security and complies with GDPR, SOC 2, and relevant privacy laws. Client data is used solely to provide the Services and is never shared or sold unless required by law.

20. DATA BACKUPS

Bizrai performs regular backups but is not liable for data loss. Clients are encouraged to retain their own backups.

21. ELECTRONIC COMMUNICATIONS
Use of the Site constitutes consent to receive electronic communications. Clients agree to the validity of electronic contracts and records.

22. FORCE MAJEURE
Neither Party is liable for delays caused by events beyond their control (e.g., natural disasters, internet outages, legal orders).

23. MISCELLANEOUS
These Terms, together with any service agreements and policies, constitute the full agreement between Bizrai and the Client. Bizrai may assign its rights at any time.
